A registered trademark or a trademark application can be transferred from one person to another by an assignment. An assignment is the document that gives legal effect to the transfer. An assignment of a registered trademark or a trademark application must be in writing and signed by the assignor (and by the assignee at the same time according the trademark law of the country).
The most common situation that requires a trademark assignment to take place is as the result of a corporate merger. Corporate merger may include the transfer of the merging company's assets, including any trademarks, to the now corporate entity. The assignment is usually evidenced by a certificate of merger or a certified extract from the companies' or commercial register, as appropriate in such cases.
